On December 19, 2025, North Country Healthcare, Inc. (NCHC) filed a voluntary petition for relief under Chapter 11 of the U.S. Bankruptcy Code. Rather than reorganizing, this case is structured as an orderly wind-down and liquidation of operations, centered on the pending sale of substantially all of NCHC’s assets to El Rio Santa Cruz Neighborhood Health Center, Inc. (“El Rio”). The bankruptcy estate’s primary objectives are to consummate that sale, maximize recoveries for creditors, and bring the entity’s affairs to an organized close.
To lead this effort, the Bankruptcy Court approved the employment of Resolute Commercial Services, LLC as financial advisor to the estate and its principal, Jeremiah Foster, as Wind Down Officer (WDO) – both effective upon entry of the Court’s order on the employment application filed March 17, 2026. As WDO, Mr. Foster holds full operational, financial, and administrative authority over the wind-down: overseeing all terminations and asset dispositions, managing the post-sale estate, and working alongside NCHC’s board to ultimately dissolve the entity. In parallel, Resolute’s financial advisory team – operating separately from Mr. Foster’s WDO role – is providing analytical and advisory support, subject to ongoing Court oversight and fee application requirements. Together, their mandate is to bring certainty and efficiency to what remains: closing out obligations, monetizing retained assets, and protecting creditor interests.

Continuing to monetize outstanding AR, engaging a collections agency to ensure extraordinary efforts on behalf of the estate to maximize value.
